By accessing or using the Website, you acknowledge that you have read and accepted these Terms.

If you do not agree with these Terms, please do not use the Website.

2. Nature of Procomma's Services

Procomma BV is a procurement and purchasing consultancy providing professional services to businesses and organisations.

Depending on the client's requirements, Procomma's services may include, among other things:

  • procurement consulting and advisory;

  • procurement management;

  • procurement project support;

  • strategic sourcing;

  • supplier sourcing and supplier management;

  • procurement of IT and IT security-related services;

  • logistics and operational procurement;

  • CAPEX and MRO procurement;

  • media and advertising procurement;

  • HR sourcing and related procurement support;

  • interim procurement support;

  • procurement training, coaching and knowledge transfer;

  • project management and related professional support.

The services presented on the Website are provided for general information purposes. The exact scope, deliverables, responsibilities, timelines, fees and other conditions of a particular engagement will be agreed separately with the client.

3. No Automatic Contractual Engagement

Information published on the Website does not constitute an offer capable of creating a binding service agreement unless expressly stated otherwise.

Submitting a contact form, requesting information, booking a meeting through Calendly or communicating with Procomma does not by itself create a contractual relationship or obligation for Procomma to provide services.

Where a client wishes to engage Procomma, the parties may enter into a separate proposal, quotation, statement of work, order confirmation, service agreement or other written agreement.

In the event of a conflict between these Terms and a specific written agreement governing a professional engagement, the specific agreement will prevail for that engagement.

4. Professional Information

Procomma aims to ensure that the information published on the Website is accurate and kept reasonably up to date.

However, the Website is provided primarily for general information and does not constitute professional, legal, financial, tax, accounting or other regulated advice.

Procurement decisions, supplier selections, commercial decisions and other business decisions remain the responsibility of the relevant client.

Information available on the Website should therefore not be relied upon as a substitute for advice tailored to the specific circumstances of a business, project or transaction.

5. Availability of the Website

Procomma makes reasonable efforts to keep the Website accessible and operational.

However, Procomma does not guarantee that the Website will:

  • always be available;

  • operate without interruption;

  • be free from errors or defects;

  • be free from viruses or other harmful components; or

  • remain unchanged.

Procomma may temporarily suspend, modify, restrict or discontinue all or part of the Website where reasonably necessary, including for maintenance, security, technical improvements or operational reasons.

Where Procomma creates specific materials for a client under a separate professional engagement, ownership and usage rights relating to those materials will be determined by the applicable client agreement.

The Website may contain links to websites or services operated by third parties, including scheduling or other external services.

Procomma does not control third-party websites and is not responsible for their content, availability, security, privacy practices or terms.

Your use of third-party websites and services is subject to the terms and policies of those third parties.

In particular, Procomma may use Calendly to facilitate meeting scheduling. Information submitted through Calendly may be processed in accordance with Calendly's own terms and privacy practices.

9. Contact Forms and Meeting Requests

The Website may allow visitors to contact Procomma or request a meeting.

Information submitted through these functions must be accurate and must not contain unlawful, fraudulent, malicious or intentionally misleading information.

The submission of information does not guarantee that Procomma will accept a project, enter into a contract or provide services.

Personal data submitted through the Website is processed in accordance with Procomma's Privacy Policy.

10. Confidential Information

Information submitted through a public Website form, email or meeting request should not be assumed to be confidential unless Procomma expressly agrees otherwise.

Clients should avoid submitting highly confidential, commercially sensitive or legally privileged information through publicly accessible Website forms.

Confidentiality obligations relating to an actual consulting engagement may be established through a separate confidentiality agreement, service agreement, statement of work or other contractual arrangement.

11. Procurement and Supplier Information

To the maximum extent permitted by applicable law, Procomma shall not be liable for indirect or consequential losses arising solely from the use of, or inability to use, the Website, including loss of data, business interruption, loss of profits or loss of business opportunities.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

In particular, these Terms do not exclude liability that cannot lawfully be excluded or limited, including liability arising from fraud or other circumstances for which Belgian law does not permit contractual exclusion.

Any limitation of liability applicable to a specific professional engagement will be governed by the separate agreement concluded between Procomma and the relevant client.

13. No Guarantee of Business Results

Procurement, sourcing and consultancy services involve commercial decisions and external factors that may be outside Procomma's control.

Unless expressly agreed otherwise in writing, Procomma does not guarantee:

  • a particular level of cost savings;

  • a specific procurement result;

  • acceptance by a supplier;

  • availability of a particular supplier;

  • a particular commercial price;

  • a specific return on investment;

  • uninterrupted access to third-party services; or

  • any other specific commercial outcome.

Any objectives, estimates, forecasts or indicative results communicated by Procomma should not be interpreted as guarantees unless expressly agreed as such in writing.

14. Force Majeure

Procomma shall not be responsible for delays or failures resulting from circumstances beyond its reasonable control, to the extent permitted by applicable law.

Such circumstances may include, for example:

  • major technical failures;

  • cyber incidents;

  • telecommunications or internet failures;

  • power outages;

  • natural disasters;

  • fire;

  • war or civil unrest;

  • governmental measures;

  • strikes or other significant disruptions;

  • failures of essential third-party service providers.

Procomma will take reasonable steps to mitigate the effects of such circumstances.

15. Privacy and Personal Data

If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision shall be interpreted or modified to the extent necessary to make it enforceable, where legally possible.

The remaining provisions shall remain in full force and effect.

18. No Waiver

Failure by Procomma to exercise or enforce any right under these Terms shall not constitute a waiver of that right.

Any waiver must be express and, where appropriate, made in writing.

19. Applicable Law

These Terms are governed by Belgian law, without prejudice to any mandatory provisions of law that cannot be excluded by agreement.

Any dispute relating to the use of the Website or these Terms shall, to the extent legally permitted, fall under the jurisdiction of the competent courts in Belgium.

For professional engagements with clients, the applicable jurisdiction may be further specified in the relevant proposal, statement of work or service agreement.
